Profilic Terms and Conditions

These Terms and Conditions govern your access to and use of Profilic, a software platform owned and operated by Horology Digital Ltd.

By creating an account, subscribing to Profilic, connecting a Google account, approving content, sending review requests, or otherwise using the platform, you agree to these Terms. If you do not agree to these Terms, you must not use Profilic.

In these Terms, “Profilic”, “we”, “us” and “our” refer to Horology Digital Ltd trading as Profilic.

“You”, “your” and “customer” refer to the person, business, agency, organisation or other legal entity using Profilic.

2. What Profilic does

Profilic provides software tools designed to help businesses, agencies and authorised users manage, improve and monitor Google Business Profiles and related local marketing activity.

Depending on your subscription plan, Profilic may include features such as:

  • Google Business Profile management tools;

  • profile optimisation suggestions;

  • AI-assisted content generation;

  • draft post creation;

  • review request tools;

  • review monitoring and response assistance;

  • email and SMS review request functionality;

  • reporting and analytics;

  • business profile monitoring;

  • client or multi-location management tools;

  • other local marketing and automation features.

Profilic is a software platform. We do not own, operate or control Google, Google Search, Google Maps, Google Business Profile, email providers, SMS networks or any third-party platforms connected to the service.

3. Eligibility and authority

You may only use Profilic if you are at least 18 years old and have the legal authority to enter into these Terms.

You must only connect, access, manage or monitor Google Business Profiles that you own or are authorised to manage.

If you use Profilic on behalf of a business, client, employer, agency or other organisation, you confirm that:

  • you have authority to act on their behalf;

  • you have permission to connect and manage their Google Business Profile;

  • you have permission to process any customer, lead, review or contact data uploaded to Profilic;

  • you have authority to bind that organisation to these Terms.

You must not use Profilic to access, modify, monitor or manage any Google Business Profile, business account, customer list or third-party data without permission.

4. Google Business Profile and third-party services

Profilic integrates with Google services, including Google Business Profile and related Google APIs.

Your use of Google services through Profilic is also subject to Google’s own terms, policies and guidelines. You are responsible for ensuring that your Google Business Profile, business information, posts, photos, reviews, review responses and other activity comply with Google’s rules.

We are not responsible for:

  • Google rejecting, delaying, editing, suspending or removing content;

  • Google suspending, restricting or disabling a Google Business Profile;

  • Google changing profile visibility, rankings, impressions, calls, clicks or map performance;

  • changes to Google’s APIs, policies, ranking systems or available features;

  • loss of access caused by Google account changes, revoked permissions, API limits, verification issues or third-party restrictions;

  • any action taken by Google or another third-party provider.

Profilic may stop working with some Google features if Google changes, limits, removes or suspends access to those features.

5. Account registration

To use Profilic, you may need to create an account and provide accurate account, billing and contact information.

You agree to:

  • provide accurate and up-to-date information;

  • keep your login details secure;

  • not share your account access with unauthorised users;

  • notify us promptly if you suspect unauthorised access;

  • ensure all invited users comply with these Terms;

  • keep your billing details up to date.

You are responsible for all activity carried out through your account.

6. User roles, team members and client access

Profilic may allow you to invite team members, clients or other users to access your workspace.

You are responsible for managing user permissions and access levels. We are not responsible for actions taken by users you invite or authorise, including changes to settings, connected accounts, draft approvals, review requests, billing information or customer data.

If you are an agency, consultant or service provider, you are responsible for obtaining and maintaining appropriate authorisation from your clients.

7. Subscriptions and payment

Profilic is provided on a recurring monthly subscription basis unless stated otherwise at the time of purchase.

By subscribing to a paid Profilic plan, you agree to pay the applicable monthly fees shown at checkout, plus any applicable VAT, sales tax or other taxes.

Subscription fees are billed in advance on a recurring monthly basis.

You authorise us and our payment processor to charge your selected payment method for your subscription fees and any applicable taxes.

If payment fails, we may suspend, restrict or terminate access to your account until payment is successfully made.

We may change our subscription fees from time to time. Where required, we will give reasonable notice before pricing changes take effect.

8. No refunds

All subscription payments are non-refundable.

This means we do not provide refunds or credits for:

  • unused subscription time;

  • partial months;

  • account inactivity;

  • failure to use the service;

  • cancellation after a billing date;

  • accidental renewal;

  • unused features;

  • customer error;

  • changes to your business needs;

  • dissatisfaction where the platform has been made available to you.

Nothing in this section affects any rights you may have under applicable law that cannot be excluded.

9. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@profilic.io.

Cancellation will take effect at the end of your current paid billing period unless stated otherwise.

You will continue to have access to paid features until the end of your billing period, unless your account is suspended or terminated earlier under these Terms.

Deleting your account, disconnecting a Google account, removing a payment method or stopping use of Profilic does not automatically cancel your subscription unless the subscription is properly cancelled through the correct process.

10. Free trials, offers and promotional pricing

We may offer free trials, discounted plans, beta access, promotional offers or limited-time pricing.

Any such offer may be subject to additional terms shown at the time of sign-up.

Unless stated otherwise, promotional offers are temporary and may be changed, withdrawn or restricted at any time.

At the end of a free trial or promotional period, your account may be converted to a paid subscription, downgraded, restricted or suspended depending on the terms shown when you signed up.

11. Draft approval and publishing responsibility

Profilic may generate or prepare draft content, including Google Business Profile posts, review responses, business descriptions, updates, promotional messages, emails, SMS messages or other materials.

Where Profilic provides draft content, you are responsible for reviewing, editing and approving that content before it is published, sent or used.

You are solely responsible for ensuring that any approved content is:

  • accurate;

  • lawful;

  • not misleading;

  • suitable for your business;

  • compliant with Google’s rules;

  • compliant with advertising, marketing, consumer protection and data protection laws;

  • authorised by the relevant business or client.

We are not responsible for errors, omissions, claims, losses or consequences arising from content you approve, publish or send using Profilic.

12. AI-generated content

Profilic may include AI-assisted tools that generate suggested content, review replies, posts, reports, messages, summaries or recommendations.

AI-generated content may be inaccurate, incomplete, outdated, unsuitable, duplicated or non-compliant with platform rules.

You must review all AI-generated content before approving, publishing, sending or relying on it.

We do not guarantee that AI-generated content will be accurate, original, legally compliant, accepted by Google, suitable for your industry, or appropriate for your customers.

13. Review request tools

Profilic may allow you to send review requests to customers by email, SMS or other supported channels.

You are responsible for ensuring that every review request you send through Profilic is lawful and properly authorised.

You agree that you will only send review requests to people where you have a lawful basis, consent or other valid permission to contact them.

You must not use Profilic to:

  • send unsolicited marketing messages;

  • contact people who have opted out;

  • contact people without proper permission;

  • send misleading or deceptive messages;

  • pressure customers to leave positive reviews;

  • discourage, filter or block negative reviews;

  • create fake reviews;

  • incentivise reviews in breach of platform rules;

  • misrepresent your relationship with a customer;

  • breach Google’s review policies or any applicable law.

You are responsible for the content of all review requests sent from your account, including emails, SMS messages, sender names, business details and links.

14. Email and SMS compliance

Profilic may provide tools that allow you to send email and SMS messages to customers.

You are responsible for complying with all laws that apply to your use of email and SMS, including anti-spam, marketing, privacy, consumer protection and telecommunications laws in the countries where you and your recipients are located.

This may include requirements relating to consent, sender identification, opt-out wording, unsubscribe options, record keeping and message frequency.

You agree not to upload, import or use any contact list unless you have the right to use that data for the intended purpose.

We may suspend or restrict email or SMS features if we believe your use may breach these Terms, applicable law, third-party provider rules, carrier rules or platform policies.

15. Customer data and contact lists

You may upload, import or process customer names, email addresses, phone numbers and other contact information through Profilic.

You confirm that:

  • you have collected the data lawfully;

  • you have the right to upload and use the data in Profilic;

  • you have provided any required privacy notices;

  • you have obtained any required consents;

  • the data is accurate and up to date;

  • you will honour opt-out, unsubscribe, deletion and suppression requests.

You are responsible for the customer data you upload and for any messages sent using that data.

16. Reviews and reputation management

Profilic may help you monitor, request, draft replies to or manage reviews.

We do not guarantee that:

  • customers will leave reviews;

  • reviews will be positive;

  • reviews will be published by Google;

  • reviews will remain visible;

  • negative reviews will be removed;

  • Google will accept review responses;

  • review activity will improve rankings or sales.

You are responsible for complying with Google’s review policies and all laws that apply to your review generation and reputation management activity.

17. Analytics and reporting

Profilic may display analytics, insights, profile performance, calls, clicks, direction requests, impressions, review activity, post performance, rankings or other reporting data.

Analytics and reports are provided for informational purposes only.

They may be delayed, incomplete, estimated, unavailable, inaccurate or affected by third-party platform limitations.

We do not guarantee any specific ranking, profile visibility, traffic level, review volume, lead volume, customer action, conversion rate, revenue increase or commercial result.

18. Profile monitoring and alerts

Profilic may include monitoring features designed to identify changes, issues, edits, missing information or other activity relating to a Google Business Profile.

These tools are designed to assist you but are not a substitute for manually checking your profile.

We do not guarantee that every change, issue, unauthorised edit, profile suspension, review, content removal, ranking change or technical problem will be detected or reported.

19. Acceptable use

You must not use Profilic to:

  • break any law, regulation or third-party right;

  • access or manage Google Business Profiles without permission;

  • upload or send unlawful, harmful, abusive, defamatory, misleading or discriminatory content;

  • send spam or unsolicited messages;

  • send review requests without proper permission;

  • create, buy, sell, manipulate or fake reviews;

  • mislead customers, clients, Google or any third party;

  • upload malware, viruses or harmful code;

  • interfere with, overload, disrupt or damage our systems;

  • attempt to gain unauthorised access to accounts, systems or data;

  • scrape, copy, reverse engineer or extract our software, data, workflows or source code;

  • bypass security, usage limits or access controls;

  • resell, sublicense or commercially exploit Profilic without permission;

  • use Profilic in a way that damages our reputation or the reputation of another person, business or platform.

We may suspend or terminate accounts that breach this section.

20. Content uploaded or created by you

You retain ownership of content you upload, create, approve, schedule, send or publish through Profilic.

This may include business information, posts, images, logos, customer data, review replies, email messages, SMS messages, reports and other materials.

You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, modify and use that content as necessary to provide, secure, support and improve Profilic.

You confirm that you have all rights, permissions and approvals needed to upload, use, approve, send or publish that content.

21. Data protection and privacy

Our use of personal data is explained in our separate Privacy Policy.

You must ensure that any personal data you upload, import, connect or process through Profilic has been collected and used lawfully.

If you use Profilic for clients, customers, staff or third parties, you are responsible for providing any required privacy notices and obtaining any required permissions.

Where required by applicable data protection law, the parties may need to enter into a separate Data Processing Agreement.

22. Google account permissions and access

To use some features, you may need to connect your Google account and grant Profilic permission to access certain Google data or perform certain actions.

The permissions requested will depend on the features you use.

You can revoke Google access through your Google account settings, but doing so may prevent Profilic from working correctly.

We will use Google account data only as needed to provide the platform, support your account, maintain security, comply with law and operate the service, as further described in our Privacy Policy.

23. Confidentiality

Each party may receive confidential information from the other.

Confidential information must not be disclosed except where necessary to use or provide Profilic, comply with law, obtain professional advice, protect legal rights, or with the other party’s consent.

This section does not apply to information that is already public, independently developed, or lawfully received from another source.

24. Intellectual property

Profilic, including its software, design, interface, branding, workflows, templates, documentation, reports, features, databases and other materials, is owned by Horology Digital Ltd or its licensors.

You may use Profilic only in accordance with these Terms.

You must not copy, reproduce, modify, sell, licence, distribute, reverse engineer, decompile, scrape or create derivative works from Profilic without our written permission.

The name “Profilic” and associated branding must not be used without our permission.

25. Service availability

We aim to provide a reliable service, but we do not guarantee that Profilic will always be available, uninterrupted, secure, accurate or error-free.

Access may be interrupted because of maintenance, updates, technical faults, hosting issues, security incidents, third-party service problems, Google API issues, SMS or email provider issues, internet disruption or events outside our control.

We may update, modify, suspend, replace or remove features at any time.

26. Beta or experimental features

We may release beta, test, experimental or early-access features.

These features may be incomplete, unstable, inaccurate or changed without notice.

You use beta features at your own risk, and we may modify or remove them at any time.

27. Support

Support is available by contacting support@profilic.io or through any support channels made available inside the platform.

We will make reasonable efforts to help with technical issues, but we do not guarantee response times unless we have agreed this separately in writing.

We are not responsible for providing support for Google accounts, Google Business Profile verification, Google suspensions, Google ranking issues, customer devices, email inboxes, phone networks, SMS carriers or third-party platforms.

28. Suspension and termination

We may suspend, restrict or terminate your account if:

  • you breach these Terms;

  • payment is overdue or fails;

  • we suspect unauthorised, unlawful, abusive or harmful use;

  • your use creates legal, security, operational or reputational risk;

  • your use may breach Google rules, email provider rules, SMS provider rules or applicable law;

  • we are required to do so by law or by a third-party provider;

  • your activity may harm Profilic, other users, customers, Google, third-party providers or the public.

You may stop using Profilic at any time.

After termination, your access to the platform may end immediately. We may delete, retain or restrict access to data in accordance with our Privacy Policy, legal obligations and legitimate business needs.

29. No guarantee of results

Profilic is designed to assist with Google Business Profile management, review generation workflows, content creation and local marketing activity.

We do not guarantee:

  • higher Google rankings;

  • local pack visibility;

  • increased calls, leads, bookings, sales or revenue;

  • increased review volume;

  • positive reviews;

  • removal of negative reviews;

  • uninterrupted Google Business Profile access;

  • acceptance of posts, edits, photos, review replies or other content by Google;

  • deliverability of every email or SMS;

  • any specific SEO, marketing, reputation or commercial outcome.

You are responsible for your own business, marketing, customer communication and compliance decisions.

30. Limitation of liability

Nothing in these Terms limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to that, we are not liable for:

  • loss of profits, sales, revenue or business;

  • loss of goodwill or reputation;

  • loss of customers or opportunities;

  • loss or corruption of data;

  • loss caused by Google, email providers, SMS providers, payment processors or other third-party platforms;

  • Google Business Profile suspension, ranking changes, review removal or content rejection;

  • indirect, consequential or special losses;

  • losses caused by your failure to review or approve content properly;

  • losses caused by messages sent to customers through your account.

Subject to the above, our total liability to you for all claims relating to Profilic will not exceed the total amount you paid to us for the service in the three months before the claim arose.

31. Indemnity

You agree to indemnify and hold harmless Horology Digital Ltd against claims, losses, damages, costs, expenses and liabilities arising from:

  • your breach of these Terms;

  • your unlawful or unauthorised use of Profilic;

  • content you upload, approve, publish or send;

  • review requests, emails or SMS messages sent from your account;

  • your misuse of Google Business Profile or third-party services;

  • your failure to obtain consent or permission from customers, clients or profile owners;

  • your management of a client’s profile without proper authority;

  • any claim from your client, customer, employee, contractor or third party relating to your use of Profilic.

32. Changes to Profilic

We may improve, update, modify, suspend, discontinue or replace any part of Profilic at any time.

We are not required to continue offering any specific feature, integration, layout, workflow or third-party connection.

Where practical, we may provide notice of material changes, but this may not always be possible, especially where changes are required for security, legal, operational or third-party platform reasons.

33. Changes to these Terms

We may update these Terms from time to time.

If we make material changes, we will take reasonable steps to notify you, such as by email, account notice or website update.

Your continued use of Profilic after the updated Terms take effect means you accept the updated Terms.

34. Assignment

You may not transfer your rights or obligations under these Terms without our written permission.

We may transfer our rights and obligations to another company or organisation as part of a merger, acquisition, restructuring, sale of assets, business transfer or similar transaction.

35. Severability

If any part of these Terms is found to be invalid, unlawful or unenforceable, the remaining parts will continue in full force and effect.

36. No waiver

If we do not enforce any part of these Terms immediately, this does not mean we have waived our right to enforce it later.

37. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over any dispute arising from or relating to these Terms, unless applicable law gives you the right to bring a claim elsewhere.
